Andrew Hamilton concentrates primarily in mergers and acquisitions (M&A), private equity and venture capital, securities law, and general corporate counseling. He works with both public and private companies in industries as diverse as energy and clean technology, computer software, information technology, business services, and medical devices. Andrew advises clients, including private equity or venture-backed companies, on all phases of their growth cycles including business plan development, start-up structuring, and exit strategies such as initial public offerings (IPOs) and change in control transactions.
For high-net-worth family-owned companies, Andrew coordinates with tax and estate planning professionals to handle transactional matters involving sale or recapitalization. He has a thorough understanding of family business planning matters, such as strategies for the senior generation to pass a business in a tax-effective manner to the next generation.
Andrew frequently serves as outside general counsel on behalf of his clients. A large part of his practice is devoted to advising clients on corporate governance matters, board of director and fiduciary duty issues, and Sarbanes-Oxley compliance. He also works closely with colleagues across practice areas, including employee benefits and executive compensation, labor and employment law, and intellectual property law to ensure that the delivery of his legal advice is coordinated with each client's business objectives.
